We advise clients beginning a business venture on the selection of the appropriate business form (sole proprietorship, partnership, corporation, or limited liability company), and make sure that organizational requirements are satisfied. We provide assistance to ongoing businesses in connection with the issuance and transfer of securities, corporate organizations and reorganizations, business and tax planning, and a wide variety of day-to-day and long-term business matters.
For banks and other lenders we prepare consumer and commercial loan documentation, advise on compliance with applicable statutes and regulations and conduct closings. In addition, we represent clients both as creditors and debtors in all types of bankruptcy proceedings and non-bankruptcy financial work outs.
